VENUELISTA Terms of Service

1. Introduction

  • Welcome to VENUELISTA, a venue booking platform that allows users to offer, sell, and purchase event tickets or third-party services while enabling curators to manage marketing, bookings, attendance, and payment collection. These Terms of Service ("Agreement") govern your access to and use of our website (venuelista.com) and associated mobile application (collectively, the "Services").
  • By accessing or registering for an account, you agree to the following:
    • You have read and understood this Agreement and our Privacy Policy.
    • You have the legal authority to enter into this Agreement.
    • You meet the age requirements necessary to use the Services.
    • You accept and agree to be legally bound by these terms.
  • If you do not agree to these Terms, do not use the Services.

2. Account Registration & Responsibilities

  • a. Creating an Account
  • To access certain features as a registered user ("Member"), you must create a VENUELISTA account ("Account"). Requirements for registration include:
    • Users must be at least 18 years of age or have parental permission if underage.
    • Account information must be accurate, current, and complete.
    • Users may not create or control multiple accounts without VENUELISTA’s written authorization.
  • We reserve the right to suspend or terminate accounts with inaccurate or misleading information.
  • b. Account Activities
    • Users must maintain the confidentiality of their Account credentials.
    • Unauthorized access must be reported immediately.
    • VENUELISTA is not liable for unauthorized activity unless proven to be caused by a security breach beyond the user’s control.
  • c. Curator Obligations
  • Curators (event organizers) must:
    • Obtain all legally required licenses, permits, and authorizations before listing an event.
    • Ensure that event details, pricing, and refund policies are accurate and transparent.
    • Comply with all applicable laws, including venue regulations.
  • d. Consumer Obligations
  • Consumers purchasing event tickets through VENUELISTA acknowledge:
    • VENUELISTA is not the seller of events but provides a marketplace platform.
    • Additional event-specific terms set by Curators may apply.
    • Fees, taxes, and processing charges must be paid at checkout.

3. Marketplace & Refund Policy

    • VENUELISTA does not guarantee pricing, quality, safety, or legality of events or tickets.
    • Refunds are subject to the Curator's policy, and VENUELISTA processing fees are non-refundable.
    • Consumers may request refunds by contacting the event Curator or support@VenueLista.com.

4. Prohibited Activities

  • Users may not:
    • Provide false or misleading account information.
    • Violate intellectual property rights.
    • Use the Services for fraudulent, illegal, or deceptive purposes.
    • Interfere with platform functionality or engage in unauthorized data collection.
  • Violations may result in account suspension or legal action.

5. Availability & Modification of Services

  • VENUELISTA reserves the right to:
    • Modify, suspend, or discontinue Services without notice.
    • Restrict access based on account status or suspected misuse.
    • Remove or modify user-generated content that violates this Agreement.
  • Service interruptions may occur due to maintenance or external factors beyond VENUELISTA’s control.

6. Intellectual Property Rights

  • All content within VENUELISTA, including logos, trademarks, software, and proprietary materials, is protected under intellectual property laws.
  • Users may not modify, distribute, or exploit VENUELISTA content without authorization.

7. Dispute Resolution & Arbitration

  • a. Initial Resolution
  • Users agree to first attempt resolution by submitting a written claim to support@venuelista.com
  • b. Binding Arbitration
  • If unresolved, disputes must be settled through binding arbitration administered by the American Arbitration Association (AAA) in New York City, NY
  • c. Class Action Waiver
  • Users waive the right to participate in class actions or representative claims.
  • d. Exceptions
  • Intellectual property disputes or small claims court cases may proceed through litigation.

8. Limitation of Liability

  • VENUELISTA is not liable for:
    • Indirect, incidental, or consequential damages.
    • Unauthorized access to user accounts.
    • Losses related to event participation or ticket purchases.
  • Users waive claims regarding platform availability, pricing, and content accuracy.

9. Indemnification

  • Users agree to indemnify and defend VENUELISTA against legal claims related to their use of the Services

10. SMS Terms

  • SMS Notifications
  • If opted in, users receive SMS alerts about receipts and important event-related updates.
    • Message and data rates may apply.
    • Frequency varies.
    • Text STOP to unsubscribe.

  • Carriers are not liable for delayed or undelivered messages.

11. Miscellaneous

    • Governing Law: This Agreement is governed by New York State law.
    • Modification Rights: VENUELISTA may modify this Agreement at any time with notice.
    • Severability: If any provision is found unenforceable, the remaining terms remain valid.
    • Termination: VENUELISTA may terminate accounts at its sole discretion.
